General The FCPA makes it illegal for a U.S. company to corruptly offer or give money or anything of value, directly or indirectly through agents or intermediaries, to foreign officials to assist the U.S. Company in obtaining or retaining business. The FCPA makes it unlawful to bribe foreign government officials to obtain or retain business. With respect to the basic prohibition, there are five elements which must be met to constitute a violation of the Act:
